1. Agreement Overview

By accessing or using ZuriPay's payment processing services, website, and mobile applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you and ZuriPay (or "we," "our," or "us").

If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and to that entity.

Please read these Terms carefully. If you do not agree with these Terms, you must not access or use our Services.

2. Services Description

ZuriPay provides payment processing services, digital wallet solutions, and related financial technology services designed to facilitate online and in-person payments for businesses operating in Africa.

Our Services include: - Processing payment transactions - Managing digital wallets - Providing payment links and checkout solutions - Facilitating payouts to bank accounts and mobile wallets - Transaction reporting and analytics - API services for integration with your applications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

3. Eligibility and Registration

To use our Services, you must: - Be at least 18 years old - Register for an account by providing accurate and complete information - Maintain the security of your account credentials - Promptly update your account information if it changes - Comply with applicable laws and regulations

You are responsible for all activities that occur under your account. If you suspect unauthorized access to your account, notify us immediately.

We reserve the right to refuse service, terminate accounts, or cancel transactions in our sole discretion, particularly if we suspect fraudulent or illegal activity.

4. Identity Verification and KYC Requirements

To comply with anti-money laundering (AML), know your customer (KYC), and other applicable laws, we may require you to provide additional information and documentation to verify your identity or business details.

This may include: - Government-issued identification - Business registration documents - Tax identification information - Proof of address - Source of funds information - Bank account details

You agree to provide accurate and complete information for these verifications. We may use third-party services to verify the information you provide.

Failure to complete verification procedures when requested may result in suspension or termination of your access to some or all of our Services.

5. Fees and Payments

Our fee structure is provided on our pricing page and may be updated from time to time. By using our Services, you agree to pay all applicable fees.

Transaction fees are typically deducted automatically from the payments you receive. We may also charge fees for specific services, chargebacks, disputes, or refunds.

All fees are exclusive of any taxes, which you are responsible for paying.

We reserve the right to change our fees upon notice. Your continued use of our Services after a fee change constitutes your agreement to pay the updated fees.

6. Transaction Processing

When you use our Services to process payments, you authorize us to act as your agent to receive, hold, and settle funds to your designated account.

You must not use our Services for illegal transactions or those prohibited by card networks or payment partners, including transactions involving: - Illegal goods or services - Infringement of intellectual property rights - Goods or services that violate card network rules - High-risk or deceptive business practices

We may delay, hold, or reverse transactions if we suspect fraudulent or illegal activity, if required by law, or if there is a dispute regarding the transaction.

Settlement times for funds vary depending on the payment method, your account status, and other factors. Typical settlement periods are outlined in our documentation but are not guaranteed.

7. Prohibited Activities

You agree not to use our Services to:

- Violate any law, regulation, or the rights of others - Sell or provide illegal goods or services - Engage in deceptive practices or misrepresent your products or services - Infringe intellectual property rights - Process payments for high-risk or prohibited businesses without our prior approval - Conduct transactions for any business other than the one registered with your account - Use our Services in a manner that could damage, disable, or impair our platform - Attempt to gain unauthorized access to our systems or other users' accounts - Use our Services to transmit malware, viruses, or harmful code - Engage in excessive chargebacks or fraudulent transactions

We reserve the right to terminate your account and access to our Services if we determine, in our sole discretion, that you have engaged in any prohibited activities.

8. Chargebacks and Disputes

A chargeback occurs when a customer disputes a transaction with their payment provider. You are responsible for all chargebacks, disputes, and reversals of payments you receive through our Services.

When a chargeback is initiated: - We will notify you of the dispute - You may be required to provide evidence to contest the chargeback - We may temporarily withhold the disputed amount from your available balance - You agree to assist us in investigating and resolving any chargebacks or disputes

If a chargeback is resolved in favor of the customer, the transaction will be reversed, and the funds will be returned to the customer. We may also charge a chargeback fee as outlined in our fee schedule.

To minimize chargebacks, you should maintain clear communication with your customers, provide accurate descriptions of your products or services, and establish clear refund policies.

9. Account Security and Data Protection

You are responsible for maintaining the security of your account and any integration with our Services.

You must: - Keep your login credentials confidential - Implement appropriate security measures when integrating with our API - Follow industry security best practices - Comply with PCI DSS requirements if you handle card data - Notify us immediately of any security breach or unauthorized access

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that data transmitted over the internet is inherently insecure and we cannot ensure the security of data sent to or from our Services.

You must comply with applicable data protection laws when collecting, using, and processing personal data in connection with our Services. This includes obtaining necessary consents from your customers for sharing their data with us.

10. Limitation of Liability

To the maximum extent permitted by law, ZuriPay and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or in connection with these Terms or your use of or inability to use our Services.

In no event shall our total liability to you for all claims related to the Services exceed the amount of fees you paid to us for the Services in the twelve (12) months preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

11. Term and Termination

These Terms continue until terminated by either you or us.

You may terminate these Terms by closing your account and ceasing to use our Services.

We may terminate or suspend your access to the Services at any time, without notice, for any reason, including if we believe: - You have violated these Terms - You have created risk or possible legal exposure for us - Our provision of the Services to you is no longer commercially viable

Upon termination: - All rights granted to you under these Terms will immediately cease - You must stop using our Services - We may retain and use your information as necessary to comply with our legal obligations and resolve disputes - We may withhold funds in your account for a reasonable time to protect against risks of chargebacks, refunds, or other liabilities

12. Changes to Terms

We may modify these Terms at any time by posting the revised terms on our website or by notifying you directly. Your continued use of our Services after such modifications constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using our Services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our Services shall first be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Harare, Zimbabwe, in accordance with the rules of the Arbitration Centre of Zimbabwe.

The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding on both parties. The costs of arbitration shall be shared equally by the parties.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
